The theory

One law, one register, two acronyms.

Companies are governed by the Law on Trade Companies. The limited liability form comes in two flavours: DOO (Друштво со ограничена одговорност) for multiple shareholders, and DOOEL for a single founder — the natural habitat of the fix, since the fix is built for one individual owner.

Registration runs through the Central Register of the Republic of North Macedonia — Централен регистар — a one-stop system filed via authorised registration agents. A complete application returns a registered company with its EMBS company number and EDB tax number in days, not chapters. The vocabulary you will meet: управител for manager, седиште for seat.

The fiscal frame is deliberately flat: 10% corporate income tax, 10% personal income tax, an 18% DDV (VAT) with reduced 5% and 10% bands and mandatory registration above MKD 2 million turnover. Low rates, real system — the tax rate is low; the deadlines are punctual.

Pay the fix

KYC and the founder file

Standard checks, passport and address evidence, UBO confirmation. If we cannot act for you, the fix is refunded in full.

Founding act and filing package

Name, seat, manager and activity defined in the register's own vocabulary — управител, седиште — with the founding act prepared for filing.

Central Register filing

Submitted through the authorised-agent route. EMBS company number and EDB tax number issued; state fees paid from the fix.

Tax and DDV position

Accounting engagement, tax setup, and the DDV question: mandatory above MKD 2 million, voluntary where input recovery or client optics justify it.

Handover and banking

Complete corporate file handed over — and the complimentary banking file goes to onboarding, prepared and presented at no charge.

Taxes

Low rates. Still a system.

North Macedonia's numbers are the easiest reading on this desk. The system underneath them still prefers reality over vibes — which suits the fix perfectly.

Banking

Lean does not mean invisible.

Local banks work well for properly documented companies — but a foreign-owned structure still needs a real compliance file. Who owns it, who runs it, what it sells, where the money comes from, and why Skopje rather than somewhere else.

If the business model is “consulting, e-commerce, investments, maybe crypto later”, the bank will become philosophical. Ours don't have to: the banking file is complimentary, prepared and presented at no charge inside the fix. If a bank says no, you owe nothing for the attempt.
