Registering a d.o.o. in Bosnia and Herzegovina: the honest checklist

Bosnia rewards preparation and punishes improvisation. What actually happens between deciding to register and holding a working company — including the parts most providers mention only after the invoice.

Two entities, one company

The first thing to understand about Bosnia and Herzegovina is that it is administratively two places: the Federation of BiH and Republika Srpska, plus the Brčko District. A d.o.o. is registered in one of them, and the choice affects courts, fees, procedures and timelines. This is not a problem — it is a routing decision, and it should be made for you, deliberately, before any document is drafted. When a provider does not open with this question, they have already made the choice by default, which is the worst way to make it.

What the process actually contains

  • Name clearance and founding act — notarised, in the local language, with your intended activities coded correctly. Miscoded activities resurface later as licensing problems.
  • Founding capital — modest in amount, but it must be documented and deposited correctly.
  • Court registration — the registry court checks the file, and files bounce for formalities more often than newcomers expect. A bounced file costs weeks, not days.
  • Tax and statistics registration — separate steps, separate offices, separate patience.
  • The registered address — a real one. Mailbox addresses are the single most common cause of later banking pain in the country.
  • Fiscalisation and VAT — if you will trade locally, the cash-register and VAT questions arrive immediately after registration, not someday.

The parts nobody advertises

Translations and apostilles on founder documents take longer than the registration itself if they are started late — start them first. Municipal-level permits can apply to physical premises even for boring activities. And the bank account, everywhere in the region, is a separate project from the registration: budget for a real KYC file — source of funds, business narrative, ownership chain — prepared before the banker asks, not after.
